These Terms and Conditions govern your use of OKCrowd, a digital signature and production agreement management platform. Please read these terms carefully before using our services.
1. Introduction and Acceptance
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Bright Machine Ltd ("we", "us", "our", or "OKCrowd"), a company registered in England and Wales (company number 7611291) with registered office at Market, 133a Rye Ln, London, SE15 4BQ.
By accessing or using OKCrowd, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
1.1 User Types
OKCrowd serves three distinct user types, each with specific terms applicable to their use:
- Production Users: Employees of casting agencies, production companies, or other organizations who use OKCrowd to manage projects, create agreements, and request signatures
- Artistes/Signers: Individuals who receive and sign production agreements, releases, or other documentation via OKCrowd
- Administrators: Users with elevated permissions to manage company accounts, billing, and user access
2. Service Description
OKCrowd is a Software-as-a-Service (SaaS) platform that provides:
- Digital signature collection and management
- Production agreement creation and distribution
- Project and cast data management
- Secure document storage and archival
- Reporting and compliance documentation
- Diversity and inclusion data collection (where applicable)
3. Account Registration and Access
3.1 Production User Accounts
To use OKCrowd as a Production User, you must:
- Provide accurate and complete registration information
- Be at least 18 years of age
- Have authority to bind your organization to these Terms
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorized access to your account
3.2 Artiste Access
Artistes receive access to sign specific documents via unique, secure links sent by Production Users. No account registration is required for Artistes to sign documents, though you may be required to provide personal information as part of the signing process.
3.3 Account Suspension
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to our platform or other users.
4. Data Ownership and Usage
4.1 Your Data
You retain all ownership rights to the data you submit to OKCrowd, including:
- Production agreements and templates
- Cast and crew information
- Project data and scripts
- Digital signatures and signed documents
- Diversity and inclusion data
4.2 Producer Data Usage
"Producer Data" means all data provided by Production Users or their affiliates, including data used, generated, or stored in connection with productions and use of OKCrowd.
We are authorized to access, use, and display Producer Data solely for:
- Providing and maintaining the OKCrowd service
- Facilitating signature collection from Artistes
- Generating reports and documentation as requested
- Complying with legal obligations
We will not:
- Sell, rent, or share your data with third parties for their marketing purposes
- Use your data to compete with you or your business
- Aggregate or modify your data except as necessary to provide the service
- Reverse engineer, decompile, or disassemble your data
4.3 Artiste Data
When you sign a document as an Artiste, the information you provide (including your digital signature, personal details, and any other data requested in the signing process) is collected on behalf of the Production User who sent you the signing request. This data is shared with the Production User and may be used by them in accordance with the agreement you are signing and their privacy practices.
4.4 Data Processing
We process all data in accordance with our Privacy Policy and applicable data protection laws, including GDPR. We act as a data processor for Production Users and as a data controller for our own operational data.
5. Digital Signatures and Legal Validity
5.1 Electronic Signature Consent
By using OKCrowd to sign documents, you consent to the use of electronic signatures and agree that such signatures have the same legal effect as handwritten signatures.
5.2 Signature Authentication
We implement security measures to verify the identity of signers, including:
- Unique, time-limited signing links
- IP address and browser fingerprinting
- Timestamp recording
- Email verification
5.3 Document Integrity
All signed documents are:
- Encrypted at rest and in transit using industry-standard encryption (TLSv1.2, TLSv1.3)
- Fingerprinted using SHA-256 hashing to detect tampering
- Stored with comprehensive audit trails
- Archived to secure, long-term storage (AWS S3 Glacier) after 30 days
5.4 Signature Archival
Digital signature data is archived to AWS S3 Glacier storage 30 days after creation. Archived signatures:
- Remain encrypted and secure
- Are retained for legal and compliance purposes
- May take 3-5 hours to retrieve if needed
- Are automatically included in cached PDF documents for immediate access
6. User Responsibilities
6.1 Production Users
Production Users are responsible for:
- Ensuring legal authority to collect signatures on agreements
- Complying with employment, data protection, and industry regulations
- Obtaining necessary consents from Artistes for data collection
- Managing user access within your organization
6.2 Acceptable Use
You may not use OKCrowd to violate laws, infringe rights of others, transmit malicious content, or attempt unauthorized access to our systems.
7. Intellectual Property
You retain all rights to content you create. We own the OKCrowd platform. By using our service, you grant us a limited license to host and process your content to provide the service.
8. Data Security and Privacy
We implement industry-standard security including encryption at rest and in transit (TLSv1.2, TLSv1.3), ISO27001-accredited data centers, and regular security audits. See our Privacy Policy for full details.
8.1 Data Retention
- Active account data: Retained while account is active
- Signed documents: Retained for legal compliance (minimum 7 years)
- Cancelled account data: Retained for 30 days, then deleted
8.2 Data Breaches
In the event of a data breach, we will notify affected users within 72 hours and report to relevant authorities as required by GDPR.
9. Third-Party Services
We use AWS for data storage and archival.
10. Limitation of Liability
OKCrowd is provided "as is" without warranties. To the maximum extent permitted by law, we are not liable for indirect damages, loss of profits, data loss, or service interruptions.
You agree to indemnify Bright Machine Ltd from claims arising from your use of OKCrowd, violation of these Terms, or content you create.
11. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage informal resolution before formal legal proceedings—contact us at info@brightmachine.co.uk.
12. Changes to Terms
We may update these Terms by posting changes on our website and notifying registered users by email. Continued use after changes constitutes acceptance.
13. Specific Terms by User Type
13.1 Production Users
You are responsible for the legal validity of agreements you create, compliance with employment and labor laws, obtaining necessary consents, and any misuse by users in your organization.
13.2 Artistes
By signing documents, you confirm you are at least 18 years old (or have parental consent), understand your electronic signature is legally binding, and acknowledge your data will be shared with the Production User. You can request copies of signed documents and exercise your GDPR rights.
13.3 GDPR Rights
You have the right to access, correct, delete (subject to legal obligations), restrict processing, port, or object to processing of your personal data. Contact us at info@brightmachine.co.uk to exercise these rights. We will respond within one month.
